Student Transportation Inc. Announces Bought Deal Financing for Gross Proceeds of $50,000,000

BARRIE, ONTARIO–(Marketwire – June 1, 2010) –

Student Transportation Inc. (the “Company”) (TSX:STB) announced today that it has entered into an agreement to sell to a syndicate of underwriters led by Scotia Capital Inc. and including BMO Capital Markets, CIBC World Markets Inc., TD Securities Inc., Wellington West Capital Markets Inc., Raymond James Ltd, and Cormark Securities Inc. on a bought deal basis C$50 million aggregate principal amount of 6.75% convertible unsecured subordinated debentures due June 30, 2015 (the “Debentures”). The Debentures will bear interest at a rate of 6.75% per annum payable semi-annually, and will be convertible at the option of the holder into common shares of the Company at a conversion rate of 137.9310 common shares per $1,000 principal amount of Debentures, which is equal to a conversion price of C$7.25 per common share.

The Debentures to be issued under this offering will be offered by way of a short form prospectus in each province and territory of Canada, and in the United States on a private placement basis pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended.

The net proceeds of the offering will be used for general corporate purposes.
